ABOUT EVENTVILLAGE EventVillage is an event-centered marketplace and community platform that allows users to discover event-specific communities, browse listings, communicate with other users, make certain reservations or purchases, offer goods or services, and participate in community discussions. EventVillage may provide categories including, but not limited to: • Parking • Stays and lodging • Transportation • Events and activities • Rentals • Photography • Services • Jobs and temporary opportunities • Goods or merchandise • Other event-related offerings EventVillage generally does not own, operate, control, provide, inspect, or manage the goods, properties, parking spaces, vehicles, services, activities, employment opportunities, or other offerings listed by Hosts unless expressly stated otherwise. Hosts are independent third parties and are not employees, agents, joint venturers, representatives, or partners of EventVillage. 2. DEFINITIONS For purposes of these Terms: "Member" means a registered EventVillage user. "Guest" means a person who browses, reserves, purchases, or otherwise obtains an offering through the Platform. "Host" means a Member who creates or manages a Listing. "Business" means a Host using EventVillage in connection with commercial or professional activity. "Listing" means an offering posted through EventVillage. "Village" means an event-specific marketplace and community created within EventVillage. "EventVillage Payments" means transactions processed through payment functionality made available through EventVillage. "Direct Payment" means a transaction where the Host and Guest arrange payment outside EventVillage's payment processing system. "External Booking" means a Listing directing the Guest to another website or service to complete a reservation or transaction. "Village Pass" means event-specific listing access purchased under the terms displayed at the time of purchase. 3. ELIGIBILITY You must be at least 18 years old and legally capable of entering into a binding contract to create an account, become a Host, enter into transactions, or purchase paid Platform services unless EventVillage expressly permits otherwise. By using EventVillage, you represent that: 1. The information you provide is accurate. 2. You are legally permitted to use the Platform. 3. You are responsible for: • Maintaining the confidentiality of your credentials • Activity occurring through your account • Keeping your contact information current • Promptly notifying EventVillage of suspected unauthorized access You may not impersonate another person or organization, create accounts using false information, or transfer an account without authorization. EventVillage may require email, telephone, identity, payment, or other verification. 5. BECOMING A HOST Members may become Hosts by completing the Host onboarding process. EventVillage may require Hosts to: • Verify a telephone number • Provide accurate profile information • Accept Host-specific terms and policies • Complete identity verification • Complete payment-provider verification • Provide permits, licenses, insurance, or other documentation when applicable Becoming a Host does not guarantee approval of any Listing. EventVillage may review, reject, suspend, or remove Listings at its discretion when reasonably necessary to enforce Platform policies or applicable law. 6. HOST RESPONSIBILITIES Hosts are solely responsible for their Listings and for ensuring that their offerings are lawful, accurate, safe, and available as represented. Hosts represent that they: • Have authority to offer the property, space, product, service, or opportunity • Possess required licenses, registrations, permits, insurance, and approvals • Will accurately describe the offering • Will disclose material restrictions or conditions • Will honor confirmed reservations and purchases • Will comply with applicable tax obligations • Will comply with applicable zoning, housing, parking, transportation, employment, safety, accessibility, and consumer protection laws EventVillage's approval or publication of a Listing does not constitute legal approval or certification of the Host or offering. 7. LISTING ACCURACY Hosts must provide truthful and materially complete information. Listings may not contain misleading information regarding: • Location • Availability • Pricing • Capacity • Amenities • Property condition • Vehicle condition • Services • Qualifications • Event affiliation • Accessibility • Rules or restrictions Photos should reasonably represent the actual offering. EventVillage may remove misleading or inaccurate Listings. 8. PARKING LISTINGS Hosts offering parking represent that they have the legal right to make the parking location available. Hosts are responsible for determining whether local laws, property agreements, leases, homeowners association rules, zoning requirements, event restrictions, or other obligations prohibit or restrict paid parking. Parking diagrams displayed by EventVillage are informational representations only and are not surveys, engineering drawings, guarantees of dimensions, or guarantees of vehicle fit. Guests remain responsible for determining whether a parking space is appropriate for their vehicle. Unless expressly stated otherwise, EventVillage does not take possession or custody of vehicles and is not a parking operator. 9. STAYS AND LODGING Hosts offering accommodations are responsible for complying with laws applicable to short-term rentals and accommodations, including registration, permitting, zoning, occupancy, safety, taxation, and licensing requirements. EventVillage does not guarantee the condition, safety, legality, cleanliness, or suitability of accommodations. Guests should independently evaluate Listings before booking. 10. TRANSPORTATION Transportation Hosts are solely responsible for complying with applicable laws concerning: • Driver licensing • Vehicle registration • Commercial transportation • Insurance • Inspections • Passenger transportation • Permits and operating authority EventVillage does not represent that a transportation Host is licensed, insured, or qualified unless expressly identified as verified for a particular credential. EventVillage is not a transportation carrier. 11. EVENTS AND ACTIVITIES Participation in events or activities may involve inherent risks. Hosts must disclose reasonably foreseeable material risks and applicable participation requirements. Guests voluntarily assume ordinary risks associated with activities in which they choose to participate, subject to rights that cannot legally be waived. 12. JOBS AND TEMPORARY OPPORTUNITIES EventVillage may allow Members or Businesses to advertise temporary jobs, gigs, or other opportunities. Unless expressly stated otherwise: EventVillage is not the employer, staffing agency, recruiter, payroll provider, or joint employer of either party. Employers and workers are responsible for: • Determining worker classification • Wages • Taxes • Insurance • Background checks • Work authorization • Workplace safety • Employment agreements • Compliance with applicable employment laws EventVillage generally does not process wages through EventVillage Payments. A job posting does not guarantee employment. 13. PROHIBITED LISTINGS Users may not offer anything unlawful, fraudulent, dangerous, deceptive, infringing, or prohibited by EventVillage policy. EventVillage may prohibit categories including illegal goods, controlled substances, weapons, counterfeit goods, stolen property, unlawful services, exploitative services, fraudulent opportunities, and other offerings deemed inappropriate or unsafe. EventVillage may update its prohibited-items policies. 14. BOOKING METHODS Listings may support different transaction methods. EventVillage Payments Guests complete payment through payment functionality integrated with EventVillage. Direct Payment The Host collects payment independently. External Booking The Guest leaves EventVillage and completes the transaction on another website. The applicable method should be displayed on the Listing. 15. EVENTVILLAGE PAYMENTS EventVillage may use third-party payment processors, including Stripe, to process payments and payouts. Users using these services may be subject to additional terms imposed by the payment processor. EventVillage does not guarantee that a particular payment method will always be available. Hosts may be required to complete identity, tax, banking, or other verification before receiving payouts. EventVillage may delay or withhold payouts when reasonably necessary because of: • Pending disputes • Suspected fraud • Chargebacks • Refund requests • Verification requirements • Legal requirements • Platform violations • Payment processor restrictions 16. PLATFORM FEES EventVillage may charge service, transaction, listing, subscription, promotional, or other fees. Applicable fees will be disclosed before the user completes the relevant transaction. For transactions processed through EventVillage Payments, EventVillage may deduct its applicable Platform fee before Host payout. Fees may vary by category, transaction type, Village, promotion, or account type. 17. DIRECT PAYMENT LISTINGS EventVillage may charge a publishing fee for Listings using Direct Payment. Currently advertised fees, if any, will be displayed before publication. EventVillage does not process, hold, guarantee, insure, refund, or otherwise control money exchanged directly between users. Users assume additional risk when transacting outside EventVillage Payments. EventVillage's payment dispute procedures generally do not apply to Direct Payment transactions. 18. EXTERNAL BOOKING LISTINGS Hosts may link to authorized external booking pages. Hosts represent that they own, manage, or have permission to promote the linked offering. EventVillage may track outbound clicks for analytics. When a Guest leaves EventVillage, the third party's terms, privacy policies, fees, cancellation policies, and dispute procedures apply. EventVillage is not responsible for transactions completed on external platforms and generally cannot issue refunds or resolve payment disputes involving them. 19. VILLAGE PASSES EventVillage may offer Village Passes allowing eligible Hosts to publish multiple qualifying Listings within a specific Village. Unless stated otherwise: • A Village Pass applies only to the Village for which it was purchased. • It does not automatically transfer between Villages. • It expires according to the terms displayed at purchase. • It does not eliminate transaction fees for transactions processed through EventVillage Payments unless expressly stated. • It does not guarantee Listing approval, placement, impressions, bookings, or sales. EventVillage may impose reasonable anti-spam and quality limits despite a pass being described as "unlimited." 20. BUSINESS SUBSCRIPTIONS EventVillage may offer recurring subscriptions to Businesses. Features, prices, billing periods, and cancellation terms will be disclosed at enrollment. Unless otherwise stated, subscriptions automatically renew until canceled. Cancellation prevents future renewal but generally does not retroactively refund charges already incurred, except where required by law. 21. SPOTLIGHT AND PROMOTED LISTINGS Hosts may purchase promotional placement. Promotional inventory may be limited by: • Village • Category • Date • Placement • Availability Purchasing promotion does not guarantee views, inquiries, bookings, revenue, or other results. Promoted Listings will be identified in a manner EventVillage determines appropriate. EventVillage may rotate promoted Listings. 22. PRICING Hosts generally determine their Listing prices, subject to Platform requirements and applicable law. Hosts are responsible for accurately disclosing mandatory charges. EventVillage may prohibit misleading pricing practices. Prices shown on external Listings may differ from prices displayed by the third-party destination. The external provider's final checkout price controls. 23. PAYOUTS EventVillage may delay Host payouts until specified booking milestones. Payout timing may vary by category. Examples may include releasing funds after: • Parking begins • Accommodation check-in • Transportation completion • Service completion • Activity commencement Estimated payout dates are not guarantees of bank deposit dates. Payouts may be delayed by weekends, holidays, banking networks, disputes, verification reviews, payment processor requirements, or risk reviews. 24. CANCELLATIONS AND REFUNDS Cancellation and refund eligibility may depend on: • Listing category • Host cancellation policy • Timing • Village-specific rules • Circumstances surrounding cancellation • Applicable law The applicable cancellation policy should be presented before booking. EventVillage may override a Host's policy in extraordinary circumstances involving fraud, material misrepresentation, safety concerns, duplicate charges, or other situations covered by EventVillage policies. 25. DISPUTES BETWEEN USERS For eligible EventVillage Payment transactions, users may submit disputes through EventVillage. EventVillage may request: • Photographs • Messages • Receipts • Videos • Location information • Booking records • Other relevant evidence Users agree to cooperate reasonably with investigations. EventVillage may determine remedies including full refunds, partial refunds, payout releases, payout holds, credits, or other appropriate remedies consistent with Platform policies. EventVillage is not a court or arbitration tribunal, and internal marketplace decisions do not eliminate legal rights that cannot lawfully be waived. 26. CHARGEBACKS Users agree not to misuse chargeback procedures. Hosts acknowledge that valid chargebacks may affect pending or future payouts. EventVillage may recover amounts owed from future Host payouts or other permitted payment methods, subject to applicable law and payment-provider rules. 27. TAXES Users are responsible for determining their tax obligations. Depending on applicable law, EventVillage or its payment processor may: • Collect taxes • Remit taxes • Request taxpayer information • Issue tax documentation • Report transactions to governmental authorities Hosts should consult a qualified tax professional regarding their circumstances. 28. COMMUNITY FORUMS Villages may contain community discussion areas. The Community is intended for conversation, questions, recommendations, networking, event information, and other legitimate community participation. The Community is not a substitute for Marketplace Listings. Users may not use community posts to circumvent listing fees, subscriptions, commissions, or promotional fees. Prohibited community advertising may include: • Advertising parking • Advertising lodging • Promoting paid services • Soliciting paid transportation • Advertising products • Posting external sales links • Repeated commercial self-promotion EventVillage may remove such posts and direct users to create a Marketplace Listing. Repeated violations may result in restrictions or suspension. 29. USER CONTENT Users may submit photographs, reviews, posts, messages, descriptions, and other content. Users retain ownership of their content but grant EventVillage a worldwide, nonexclusive, royalty-free license to host, store, reproduce, display, distribute, format, and use the content as reasonably necessary to operate, promote, improve, and provide the Platform. You represent that you possess necessary rights to content you upload. 30. REVIEWS Reviews must reflect genuine experiences. Users may not: • Purchase fake reviews • Review themselves • Threaten negative reviews to obtain compensation • Coordinate fraudulent reviews • Post knowingly false statements EventVillage may remove reviews violating Platform policies. 31. COMMUNICATIONS EventVillage may provide messaging tools. Users may not use them for: • Spam • Harassment • Fraud • Phishing • Illegal activity • Circumventing Platform fees where prohibited • Collecting personal information improperly EventVillage may review or preserve communications where permitted by law for safety, fraud prevention, support, dispute resolution, and policy enforcement. 32. EVENT AFFILIATION The existence of a Village does not necessarily mean EventVillage is affiliated with, sponsored by, endorsed by, or officially partnered with the underlying event, venue, university, municipality, organization, promoter, or trademark owner. Unless expressly stated, Villages are independent marketplace communities created around events. Users may not falsely claim official affiliation. 33. EVENT CHANGES AND CANCELLATIONS Events may be postponed, relocated, modified, or canceled. EventVillage does not control third-party events. The cancellation of an underlying event does not automatically determine the refundability of every related Listing or Platform service. Applicable policies will govern. 34. SAFETY EventVillage may provide verification, reporting, moderation, and safety features, but these measures do not guarantee another user's identity, conduct, qualifications, safety, or reliability. Users are responsible for exercising reasonable judgment when interacting in person. Report suspected fraud, dangerous conduct, or policy violations through the Platform. Emergencies should be reported to appropriate emergency services. 35. INSURANCE Unless expressly stated, EventVillage does not provide insurance coverage for Hosts, Guests, vehicles, property, goods, activities, or services. Hosts are responsible for obtaining insurance appropriate to their activities. 36. PROPERTY DAMAGE AND PERSONAL BELONGINGS EventVillage is not responsible for loss, theft, or damage involving vehicles, property, equipment, personal belongings, or other items arising from interactions between users, except to the extent liability cannot legally be excluded. Users should maintain appropriate insurance. 37. FRAUD AND PLATFORM ABUSE Prohibited activity includes: • Creating fake Listings • Payment fraud • Identity fraud • Manipulating reviews • Evading fees • Creating duplicate accounts to bypass restrictions • Misrepresenting event affiliation • Scraping the Platform without authorization • Interfering with Platform security • Circumventing account suspensions EventVillage may investigate suspected abuse. 38. ACCOUNT SUSPENSION AND TERMINATION EventVillage may warn, restrict, suspend, or terminate accounts when reasonably necessary because of: • Violations of these Terms • Fraud • Safety concerns • Illegal activity • Repeated complaints • Payment problems • Chargeback abuse • Harassment • Circumvention of Platform fees • Risk to users or the Platform Where appropriate, users may be offered an appeal process. Outstanding obligations survive termination. 39. PLATFORM AVAILABILITY EventVillage does not guarantee uninterrupted Platform availability. We may modify, suspend, discontinue, test, or update features. We may perform maintenance without advance notice when necessary. 40. THIRD-PARTY SERVICES EventVillage may integrate third-party services including payment processors, mapping providers, identity-verification services, communications providers, analytics providers, and external booking platforms. Use of third-party services may be governed by their respective terms. EventVillage is not responsible for third-party systems outside its reasonable control. 41. INTELLECTUAL PROPERTY The EventVillage name, logos, software, interface, design, graphics, databases, and original Platform content are owned by EventVillage or its licensors and protected by applicable intellectual property laws. Users may not copy, modify, distribute, reverse engineer, commercially exploit, or create unauthorized derivative works from EventVillage intellectual property. 42. COPYRIGHT COMPLAINTS EventVillage respects intellectual property rights. Copyright owners may submit infringement notices using the contact information provided below. EventVillage may remove allegedly infringing content and terminate repeat infringers where appropriate. 43. PRIVACY Use of EventVillage is also governed by the EventVillage Privacy Policy. The Privacy Policy explains how personal information is collected, used, shared, retained, and protected. 44. ELECTRONIC COMMUNICATIONS You consent to receiving transactional communications electronically, including: • Booking confirmations • Payment receipts • Account notices • Security alerts • Policy notices • Host communications Marketing communications will be handled according to applicable law and your communication preferences. 45. DISCLAIMER OF WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTVILLAGE IS PROVIDED "AS IS" AND "AS AVAILABLE." EVENTVILLAGE DOES NOT WARRANT THAT: • LISTINGS WILL BE ACCURATE • HOSTS OR GUESTS WILL PERFORM AS EXPECTED • ANY OFFERING WILL BE SAFE OR SUITABLE • USERS WILL RECEIVE BOOKINGS OR REVENUE • THE PLATFORM WILL ALWAYS BE AVAILABLE OR ERROR-FREE • THIRD-PARTY SERVICES WILL FUNCTION WITHOUT INTERRUPTION Nothing in these Terms excludes warranties or rights that cannot legally be excluded. 46. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVENTVILLAGE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE PLATFORM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTVILLAGE'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID DIRECTLY TO EVENTVILLAGE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100. This limitation does not apply where prohibited by law. 47. INDEMNIFICATION To the extent permitted by law, you agree to defend, indemnify, and hold harmless EventVillage and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from: • Your Listings • Your goods or services • Your use of the Platform • Your violation of these Terms • Your violation of applicable law • Your infringement of another person's rights • Your interactions with other users 48. DISPUTE RESOLUTION WITH EVENTVILLAGE Before initiating formal proceedings against EventVillage, you agree to attempt to resolve the dispute informally by contacting: contactus@myeventvillage.com Your notice should describe the dispute and requested resolution. EventVillage will have 30 days to attempt informal resolution. 49. ARBITRATION IMPORTANT: THIS SECTION AFFECTS YOUR LEGAL RIGHTS. Except for claims eligible for small claims court and claims for injunctive relief involving intellectual property or unauthorized Platform access, disputes arising from these Terms or the Platform will be resolved through binding individual arbitration to the extent permitted by applicable law. Arbitration will be administered by [AAA/JAMS TO BE SELECTED WITH COUNSEL] under applicable consumer or commercial arbitration rules. The Federal Arbitration Act governs this arbitration agreement. CLASS ACTION WAIVER To the extent permitted by law, disputes must be brought individually and not as a plaintiff or class member in a purported class, consolidated, coordinated, or representative proceeding. GOVERNING LAW Except where federal law or another jurisdiction's mandatory law applies, these Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. 52. CHANGES TO THESE TERMS EventVillage may update these Terms. If material changes are made, we will provide reasonable notice as required by applicable law. Continued use after revised Terms become effective constitutes acceptance where permitted by law. If required, we may request affirmative acceptance of updated Terms. 53. SEVERABILITY If any provision is found unenforceable, the remaining provisions remain effective to the fullest extent permitted by law. 54. NO WAIVER Failure to enforce a provision does not waive EventVillage's right to enforce it later. 55. ASSIGNMENT Users may not assign these Terms without EventVillage's written consent. EventVillage may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, or similar transaction, subject to applicable law. 56. ENTIRE AGREEMENT These Terms, together with policies incorporated by reference, constitute the agreement between the user and EventVillage regarding use of the Platform. 57.
